Terms of Service

1. Eligibility & Authority

You must be at least 18 years old to use the Services. By using the Site, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement
  
• If you are accessing the Services on behalf of an organization or entity, you are authorized to accept these Terms on their behalf.

2. Accounts & Access

To access certain features, you may be required to create an account. You agree to provide accurate and complete information and to maintain the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

If you believe your account has been compromised, please notify us immediately at support@interspect.ai.

3. Ownership & Use of Materials

All content on the Site and Services, including but not limited to software, design, text, images, video, interviews, voice recordings, data sets, and documentation (collectively, “Materials”) is the intellectual property of InterspectAI Inc. or its licensors and is protected under U.S. and international copyright, trademark, and other intellectual property laws.

You may not:

• Reproduce, distribute, publish, modify, or create derivative works from the Materials;
  
• If you are accessing the SeUse our trademarks, logos, or branding without prior written permission;rvices on behalf of an organization or entity, you are authorized to accept these Terms on their behalf.
• Reverse engineer, scrape, or access our systems in an unauthorized manner.

4. Enterprise and Commercial Use

If you are an enterprise or commercial customer, additional terms may apply under a separate subscription or services agreement. These may include service-level commitments, data processing obligations, usage caps, and custom integrations.

If there is a conflict between these Terms and a signed agreement, the signed agreement will govern.

5. Beta Features

You may be invited to use experimental or beta versions of our Services (“Beta Features”). You acknowledge that:

• Beta Features may be unstable and are provided “as is” without warranties;
  
• We may modify or discontinue them at any time;
• Your feedback may be used to improve our products.

6. Prohibited Conduct

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes;
  
• Transmit viruses, malware, or harmful code;
• Interfere with or disrupt the security, integrity, or performance of our platform;
• Use bots, scrapers, or automated systems to access the Services without permission;
• Infringe on intellectual property or privacy rights of others.

7. Data Privacy & Processing (GDPR & Global)

We respect your privacy and data rights. If you are an EEA/UK user or process personal data of EEA/UK individuals:

• You act as the data controller and InterspectAI acts as a data processor;
  
• We only process personal data under your instructions and for the purposes of providing the Services;
• A separate Data Processing Agreement (DPA) is available upon request via compliance@interspect.ai.

8. Third-Party Services

Our Services may link to or integrate with third-party services (e.g., Microsoft Entra ID, Zoom, ATS providers). We are not responsible for the content, functionality, or privacy practices of these third parties. Use of those services is governed by their own terms and conditions.

9. Termination

We reserve the right to suspend or terminate your access to the Services if:

• You violate these Terms or applicable law;
  
• You misuse or abuse our platform;
• We are required to do so by law or regulatory order.

Termination may result in the deletion of your content and account data.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind. We do not guarantee:

• That the Services will be uninterrupted or error-free;
  
• That results or reports from AI-driven interviews will be accurate, complete, or legally actionable.

We expressly disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, InterspectAI shall not be liable for:

• Any indirect, incidental, special, or consequential damages;
  
• Loss of data, profits, or business;
• Any liability exceeding $100 USD in aggregate.

Some jurisdictions may not allow certain limitations, so these may not apply to you.

13. Changes to the Site or Terms

We may update these Terms at any time. Updates will be posted at https://interspect.ai/terms, and your continued use after changes constitutes acceptance. We may modify, suspend, or discontinue parts of the Services at any time.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Travis County, Texas.

15. Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, internet outages, government actions, or labor disputes.
